B. Business Activities of the Research Analyst
The Research Analyst shall:
- Publish research reports based on independent research and analysis.
- Provide unbiased and independent views on securities.
- Offer research recommendations based solely on publicly available information and professional analysis.
- Disclose any financial or other material interest in recommended securities.
- Ensure that research reports are prepared with due diligence, care, and professional judgment.
- Conduct periodic internal compliance reviews and annual audits.
- Ensure that all advertisements and promotional materials comply with the SEBI Advertisement Code.
- Maintain complete records of communications with existing and prospective clients as prescribed by SEBI.
C. Services Provided to Investors
Client Onboarding
- Sharing Terms and Conditions before onboarding.
- Completion of KYC requirements for fee-paying clients.
- Execution of client agreements wherever applicable.
- Collection of fees only through approved banking channels or other SEBI-approved mechanisms.
Client Disclosures
The Research Analyst shall disclose:
- Nature of business activities.
- SEBI Registration details.
- Disciplinary history, if any.
- Terms and conditions of services.
- Risks associated with investment recommendations.
- Material conflicts of interest.
- Details of associates, wherever applicable.
- Extent of use of Artificial Intelligence (AI) tools in providing research services.
- Third-party research disclosures wherever applicable.
- Service timelines and expected delivery schedules.
The Research Analyst shall also:
- Treat all clients fairly and without discrimination.
- Maintain confidentiality of unpublished research reports.
- Protect client information and comply with applicable data privacy requirements.
- Provide adequate caution while recommending complex or high-risk financial products.
- Maintain transparency in all dealings with investors.
D. Regulatory Compliance
The Research Analyst is registered with the Securities and Exchange Board of India (SEBI) and complies with the provisions of the SEBI (Research Analysts) Regulations, 2014, as amended from time to time, together with all applicable circulars, notifications, guidelines, and directions issued by SEBI and the Research Analyst Administration and Supervisory Body (RAASB).
The Research Analyst shall:
- Maintain the highest standards of integrity, honesty, fairness, and professionalism.
- Exercise due diligence and independent judgment while preparing research reports.
- Maintain adequate compliance systems, internal controls, and governance mechanisms.
- Preserve records relating to clients, research reports, recommendations, agreements, communications, complaints, audits, and regulatory filings for the period prescribed by SEBI.
- Cooperate with SEBI, RAASB, stock exchanges, and other regulatory authorities during inspections, audits, or investigations.
- Comply with Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements wherever applicable.
- Ensure compliance with all applicable laws, regulations, circulars, and industry best practices.
E. Conflict of Interest Policy
The Research Analyst has established policies and procedures to identify, monitor, manage, and disclose actual or potential conflicts of interest.
The Research Analyst shall:
- Disclose all material conflicts of interest before providing recommendations.
- Maintain independence and objectivity in research activities.
- Avoid personal or financial interests that may compromise research quality.
- Ensure that recommendations are not influenced by external parties or business relationships.
F. Risk Disclosure
Investments in securities and financial products are subject to market risks.
Research reports and recommendations are prepared using publicly available information, analytical models, and professional judgment. Market conditions may change due to economic, political, regulatory, or company-specific developments.
The Research Analyst does not guarantee:
- Returns or profits.
- Accuracy or completeness of market information at all times.
- Future performance of any security.
- Achievement of investment objectives.
Past performance should not be considered an indicator of future performance.
Investors should independently evaluate investment decisions and consult financial, legal, or tax advisors wherever necessary.
G. Grievance Redressal Mechanism
Complaint to the Research Analyst
Any investor having a complaint or grievance may first approach the Research Analyst. Every effort shall be made to resolve the complaint immediately and not later than 21 days from the date of receipt.
Complaint through SCORES / RAASB
Investors may also lodge complaints through:
- SCORES 2.0 (SEBI's Online Grievance Redressal System)
- Designated email address of RAASB
Complaint Review Process:
- First Review – RAASB
- Second Review – SEBI
- SMART ODR Platform: If an investor is dissatisfied with the resolution provided by the Research Analyst, the complaint may be referred to the SMART ODR Platform for online conciliation or arbitration.

H. Rights of Investors
Every investor has the right to:
- Privacy and confidentiality.

- Know service parameters and turnaround timelines.
- Timely grievance redressal.
- Exit from services as per agreed terms.
- Receive clear guidance regarding complex and high-risk financial products.
- Accessible services for differently-abled investors.
- Submit feedback regarding services received.
- Be treated with honesty, fairness, dignity, and professionalism.
I. Responsibilities of Investors
Do's
- Deal only with SEBI-registered Research Analysts.
- Verify the SEBI Registration Number before availing services.
- Read all disclosures, disclaimers, and research reports carefully.
- Make payments only through banking channels.
- Retain receipts and payment records.
- Seek clarification before acting upon research recommendations.
- Exercise caution while investing in complex financial products.
- Keep personal information updated with the Research Analyst.
- Report suspicious activities or false promises to SEBI.
- Inform the Research Analyst immediately regarding unauthorized use of personal information.
Don'ts
- Do not provide investment funds to the Research Analyst.
- Do not share trading, demat, or banking passwords or OTPs.
- Do not rely solely on market rumors or social media messages.
- Do not invest solely based on advertisements or promotional schemes.
- Do not expect or seek guaranteed or assured returns.
- Do not be influenced by gifts, incentives, discounts, or pressure-selling tactics.
J. Record Maintenance & Data Protection
The Research Analyst shall maintain records relating to:
- Client onboarding documents.
- KYC records.
- Research reports.
- Investment recommendations.
- Client communications.
- Agreements.
- Fee receipts and invoices.
- Complaint records.
- Compliance reports.
- Audit reports.
All records shall be maintained securely and preserved for the duration prescribed under applicable SEBI regulations.
Client information shall remain confidential and shall not be disclosed except where required under law or with the client's explicit consent.
K. Investor Awareness & Best Practices
Investors are encouraged to:
- Verify the authenticity of the Research Analyst through the SEBI website before availing services.
- Carefully understand the risks associated with investing.
- Make investment decisions based on their financial goals, risk appetite, and investment horizon.
- Avoid acting on unsolicited investment tips, rumors, or fake social media messages.
- Read research reports and disclosures in their entirety before making investment decisions.
- Report any fraudulent person falsely claiming association with the Research Analyst.
